ROLE SUMMARY
What are the key objectives and expectations from this role?
Provide strategic direction and operational management of corporate legal, transactional, and M&A matters for Reynolds. Primary job responsibilities include managing legal support for all of the Reynolds contracting matters, counselling on various M&A projects, implementation of legal strategy, and providing strategic legal advice and risk assessment to senior executives in a wide variety of business areas such as Procurement, Operations, DBS, Finance, W&S, Tax and HR.

This role is critical link between LEX and all of Reynolds’ business transacting matters (Procurement and M&A)

ACCOUNTABILITIES
Lead legal support to Procurement team with respect to contracting matters, including contract disputes; oversee and manage execution of the contracting support through a dedicated team of external lawyers (outsourcing), create process improvements and efficiencies of the contract management cycle through automation and simplification and support execution of the Procurement centred compliance programs.
Provide strategic direction and ongoing legal counsel to all Reynolds business areas and various Group US based entities with respect to key initiatives, corporate governance, and transactional matters.
Provide strategic direction, operational advice and implementation of the Group’s US based M&A and venturing projects.
Responsible for understanding changing business, legal, and regulatory risks and the potential impact on litigation, governance, disclosures, and external relations.
Monitor developments in relevant legal areas to ensure companies are following best practices and complying with applicable legal requirements. Continue legal education through memberships in state and local bar associations, CLE, and ongoing reading of legal periodicals and attendance of seminars.
Act as the primary counsel for the Vice President, Procurement.
Support and assist Senior Vice President and Deputy General Counsel – Commercial/Corporate, as requested, in connection with performance of his duties and responsibilities and in completion of other legal services as assigned.
EXPERIENCE, SKILLS, KNOWLEDGE
ESSENTIAL
Experience Required
- The ideal candidate will be a generalist with 5-8 years of well-rounded experience in key legal areas, including litigation and transactional matters.
Technical / Functional / Leadership Skills Required
Strong oral and written communication, negotiation, and problem-solving skills
Ability to identify and resolve complex legal issues in a business-focused and strategic manner
Ability to interact effectively with internal stakeholders and cross functional teams
Strong leadership skills
Ability to manage conflicting demands to meet the goals of the commercial business
Flexibility and willingness to adapt to new environments and challenges
Education / Qualifications / Certifications Required
Juris Doctor (JD) from an ABA accredited law school
Record of strong academic achievement
Licensed to practice and in good standing in one or more states in the U.S.
